Credit portfolio transfers (NPL/NPI)
Advisory on the purchase, sale and transfer of non-performing credit portfolios: structuring, due diligence, document analysis and preparation of transaction documentation. Support for both individual transactions and volume processes involving distressed financial assets.
How we work
Our methodology for this service
Structuring the assignment transaction
We define the legal structure of the credit assignment or sale — individual or portfolio — taking into account regulatory requirements, asset type and the needs of assignor and assignee.
Legal due diligence of the credits
We review the contractual documentation of each credit, the existence and validity of security interests, procedural contingencies and possible restrictions on assignment to properly inform the transaction.
Drafting the assignment agreement
We prepare the credit sale agreement with the representations, warranties, price adjustment mechanisms and liability regime appropriate to the profile of the assets being transferred.
Closing and debtor notification
We coordinate the closing and manage notification of the assignment to debtors, ensuring the legal effectiveness of the transfer and the correct handover of management to the new holder.
Who this is for
Banks and financial institutions managing distressed asset portfolios, and funds specialised in acquiring NPL and NPI credits that need solid legal structuring to close transactions securely.
